Terms of Use

1. Acceptance of terms

These Terms of Use ("Terms") form a legally binding agreement between you and Marble City AI ("we", "us", "our"), an AI automation and consulting agency based in Kilkenny, Ireland. By accessing the website at marblecityai.com ("the Site"), using any AI tool we provide, or engaging us for consulting or implementation services, you agree to these Terms. You confirm that you are at least 18 years old and, if acting for an organisation, that you have authority to bind it to these Terms.

2. Our services

We provide AI consulting, custom software development, agentic workflow design, automation implementation, and related advisory services. We also host informational content and interactive tools (such as the pitch audit) on the Site. Any outcome, projection, or example shown on the Site is illustrative; the Site and our generally-available tools are provided "as-is" and do not guarantee any specific business, revenue, or operational result. Client engagements are governed by a separate written statement of work or contract, which takes precedence over these Terms for that engagement.

3. Fees, payments & refunds

• Fees, payment schedules and any recurring subscription cycles are set out in the applicable statement of work, proposal or order form.
• Payments are processed by a third-party payment processor (e.g. Stripe). We do not store full payment card details.
• Unless expressly stated otherwise in writing, all fees are non-refundable once design, configuration, integration or development work on a project has commenced.
• We may suspend services, deliverables or Site access immediately if a payment is overdue, fails, or is the subject of a chargeback initiated without prior good-faith attempt to resolve a dispute with us.
• Prices are exclusive of VAT and other applicable taxes unless stated.

4. Intellectual property

Our IP. The Site, its source code, design, text, graphics, logos, our proprietary prompts, frameworks, methodologies and pre-existing tooling are owned by Marble City AI or our licensors and protected by Irish, EU and international intellectual property laws. You may view and print pages for personal, non-commercial reference only.

Client deliverables. For paid engagements, full title to the bespoke deliverables we produce for you transfers to you only upon receipt of full payment of all invoices for that engagement. Until then, we grant you a limited, revocable licence to evaluate the work. We retain ownership of all underlying tooling, frameworks, prompts, libraries and know-how that pre-exist or are developed independently of the engagement.

AI-generated content. Copyright treatment of AI-generated outputs varies between jurisdictions and is still evolving. We make no warranty that AI-generated outputs are eligible for copyright protection in any particular jurisdiction or that they do not resemble existing works. You are responsible for reviewing AI outputs before use.

5. Acceptable use

You agree not to:

• Use the Site or our services for any unlawful purpose.
• Reverse-engineer, decompile, scrape, or attempt to extract the source code or underlying models from the Site.
• Bypass, probe or test the security or rate-limits of the Site or our infrastructure.
• Use any AI feature we provide to generate content that is illegal, defamatory, harassing, infringing, hateful, sexual content involving minors, or designed to facilitate fraud or malware.
• Submit personal data of third parties without a lawful basis to do so.
• Submit false, misleading or impersonating information through forms on the Site.
• Resell, sublicense or pass off our services or deliverables as your own to third parties without a written agreement.

6. User submissions

You retain ownership of content you submit through our forms or AI tools. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit and process that content as needed to operate the Site, deliver our services and meet legal obligations. We process such content in line with our Privacy Policy.

7. AI outputs & pitch audit

AI-generated outputs (including the pitch audit) are informational only and do not constitute professional business, legal, financial, medical or tax advice. AI systems can produce inaccurate, incomplete or fabricated content ("hallucinations"); you must independently verify any output before relying on or publishing it. We do not guarantee accuracy, fitness for any particular purpose, or continuous availability of any AI feature.

8. Third-party services & downtime

Our Site and services rely on third parties including hosting providers, payment processors, analytics vendors and AI model providers (e.g. OpenAI, Anthropic, the Lovable AI Gateway). We are not responsible or liable for outages, latency, data loss, rate-limiting, policy changes or pricing changes caused by those third parties, or for the content of any third-party websites linked from the Site.

9. Disclaimers

To the fullest extent permitted by law, the Site and all services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted operation. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded under Irish or EU consumer law.

10. Limitation of liability

To the maximum extent permitted by law, Marble City AI shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business interruption, whether arising in contract, tort (including negligence) or otherwise, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or the services shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the event giving rise to the claim, or (b) €100.

11. Indemnification

You agree to indemnify and hold harmless Marble City AI, its directors, employees and contractors from any claims, damages, losses, liabilities and reasonable legal costs arising from (i) your misuse of the Site or services, (ii) your breach of these Terms, (iii) content or data you submit, or (iv) your infringement of any third-party right.

12. Termination

We may suspend or terminate your access to the Site or any service at any time, with or without notice, if you breach these Terms or if continued provision would expose us to legal or security risk. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) shall survive.

13. Governing law & dispute resolution

These Terms are governed by the laws of Ireland. Before commencing any formal proceedings, both parties agree to attempt in good faith to resolve any dispute by direct negotiation, and failing that by mediation administered by a mutually agreed mediator based in Ireland, for a period of at least 30 days. If the dispute is not resolved through mediation, the courts of Ireland shall have exclusive jurisdiction, subject to any non-waivable consumer rights you have under EU law.

14. Changes to these terms

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide reasonable advance notice (for example via a banner on the Site or, for clients, by email). Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

15. Entire agreement & severability

These Terms, together with our Privacy Policy and any signed statement of work, constitute the entire agreement between you and Marble City AI regarding the Site and services. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
